Medicoverage Inc. Effective Date: 08/01/04

Read this carefully before submitting the application for participation in the Medicoverage affiliate program. This is a binding agreement between the individual or entity submitting the application ("You" and "Your") and Medicoverage, Inc. (Medicoverage”). By submitting the application, You hereby accept and agree to all of the terms and conditions set forth in this agreement.

1. Joining the Program
By filling out the signup form You will automatically become a Medicoverage affiliate and are bound by the terms of this agreement. Your participation in the program is solely for this purpose: to legally advertise Medicoverage Inc.’s services to receive a referral fee on products purchased by Your referral individuals. You are not authorized to provide services on behalf of Medicoverage such as, but not limited to, offering customers specific insurance advice.

2. Limited License to Use Medicoverage Promotions
Medicoverage grants to You a nonexclusive, revocable license to display on Your website Medicoverage promotions solely for the purpose of promoting the services associated with the Medicoverage Inc. You may use the graphics and text provided to You by us. You may use Medicoverage graphic and text links both on your website and in electronic mail transmissions. To the extent that Medicoverage promotions contain Medicoverage's trademarks, service marks or trade names, You shall not use such marks in a manner that might be deemed to create a unitary composite mark. You also agree not to use the Medicoverage promotions in a manner that is, or otherwise include materials on Your website that are disparaging of Medicoverage or any third party. Medicoverage reserves all proprietary rights in and to the Medicoverage promotions not expressly granted herein. You agree that this license can be revoked at any time for any or no reason upon notice by Medicoverage to You and You agree upon receipt of such notice immediately to cease using all Medicoverage promotions.

3. Affiliate Tracking
Medicoverage tracks affiliate information in two ways 1) When a visitor from Your site clicks through Your affiliate link, a digital cookie is set in their browser that contains Your affiliate information, and. 2) Your visitors’ IP address is tracked in the database along with your affiliate name.

When a visitor from your site “Fully Submits an Approved Application”, the script will look for this cookie and/or try to match their IP address to identify the affiliate who will be awarded the referral fee. Visitors sent through Your affiliate link may make a purchase later in time and the referral fee will still be awarded if the cookie is present in their browser and/or the are using the same IP address as the one logged in the Medicoverage database.

4. Compensation
On a quarterly basis, within thirty days after the end of each calendar quarter, Medicoverage agrees to pay You a referral fee described below for each unique customer who, after having used the Medicoverage links on Your website, fully submits an approved application (“Approved Application”) on the www.medicoverage.com website.

An Approved Application means that a Customer (a) properly completes an application, (b) manually or electronically signs the completed application, and (c) within thirty (30) days of the online submission, returns any and all forms fully executed accompanied by the first month's payment. Incomplete applications or applications that are not approved by an insurance provider for any reason are not considered Approved Applications and will not be eligible for referral fees.

5. Indemnification.
You agree to indemnify and hold harmless Medicoverage, its subsidiaries and affiliates, and their respective officers, directors, agents, distributors, and employees against any loss, damage, expense, or cost, including reasonable attorneys fees arising out of any claim, action, suit, investigation, arbitration or other proceeding by a third party liabilities based on (i) Your material breach of any covenant, duty, representation, or warranty of this Agreement, and (ii) materials contained on Your Website (including any allegation that such materials infringe a third party's proprietary rights). We will not be liable for indirect or accidental damages (loss of revenue, marketing fees) due to affiliate tracking failures, loss of database files, and any results of "intents of harm" to the program or our website. We do not make any expressed or implied warranties with respect to the affiliate program and/or products sold at this site. We make no claim that the operation of the affiliate program and our website will be error-free and we will not be liable for any interruptions or errors.

6. Revocation of Affiliate Status
Your affiliate application and status in the program may be suspended or terminated for any of the following reasons:
1. Inappropriate advertisements (False claims, misleading hyperlinks or unlawful conduct)
2. Spamming (mass email, mass newsgroup posting)
3. Advertising on sites containing/promoting illegal activities
4. Violation of intellectual property rights.

You may not transmit or place any Medicoverage promotions on a website that contains, or links to a website or other destination that contains, content that is sexual, offensive, deceptive or illegal in nature or that in any way promotes or encourages hatred, violence, discrimination or illegal activities.

7. Terms of the Agreement
These terms will begin upon your signup with the affiliate program and will end when your affiliate account is terminated. The terms of this agreement may be modified by Medicoverage at any time. If any modification to the terms is unacceptable to You, Your choice is to terminate Your affiliate account. Your continuing participation in the program will constitute Your acceptance of any change. Either party may terminate this agreement at any time for any or no reason upon five days notice. Medicoverage shall notify You of such termination by sending You an e-mail on the e-mail address set forth on Your application, or by posting a notice on the Reporting Site. You shall notify Medicoverage of such termination by sending an e-mail to admin@medicoverage.com. Medicoverage may terminate this Agreement immediately if you breach this Agreement or if Your Website is deemed in Medicoverage's sole discretion to be unsuitable for the Program.

By filling out this form you acknowledge that you have read the terms and conditions, understand, and agree with them.
